FALLON BOWMEN
ARTICLE 1 Section 1: This Club shall be known as the FALLON BOWMEN, and shall be run as a nonprofit organization according to the laws of the State of Nevada. Section 2: The purpose of this Club is to encourage the sport of Archery in both hunting competition shooting. Also to promote it as a family sport. Section 3: The Club shall hold general membership meetings every two months, and hold board meetings once a month. General meetings will be held on the Forth (4th) Thursday of the month, and the board meetings will be held on the third (3rd) Thursday of the month. These meetings will be at 7:00 pm. Section 4: The General Membership will by vote, elect the people who shall hold offices of President, Vice President, Secretary, and Treasurer. There will also be a Board of Directors elected. This will include the past Club President, the current President, Vice President, Secretary, Treasurer, and four (4) elected club members. These people must be current members in good standing, (have current dues paid). The terms of the Officers shall run two (2) years, and the elected Directors shall also run two (2) years. ARTICLE 2 Section 1: MEMBERSHIP - Shall be open to anyone interested in the sport of Archery. You become a member when you pay the current year's dues. Section 2: DUES - Shall be due and payable at the time of the general membership meeting in January of each year. Any member who has not paid his or her dues before March 1st of each year shall be delinquent and dropped from membership and mailing lists of the Club. A membership so terminated shall be reinstated only upon filing a new application for membership, and paying that year's dues. A new membership may be had at any time during the year by filling out a membership application and paying the current dues. All membership fees and dues shall be paid to the Treasurer. No cancellation or refund of fees or dues shall be made. Dues are $20.00 for a family, and $15.00 for a single membership. When a person turns 18 years of age, they will be considered an adult, and must pay the single rate. Section 3: VOTING - Any member in good standing (current dues paid) and over the age of fourteen (14) years, is eligible to vote on club business. Elections can be by hand or by ballot. ARTICLE 3 Section 1: OFFICERS - The Officers of the Club shall be a President, Vice-president, Secretary, and a Treasurer. The officers shall be elected by the general membership at the year-end general membership meeting. All officers shall be elected for the period of two (2) years, or until successors are elected or appointed if necessary, and shall be eligible for reelection. All officers shall hold office subject to removal by a two-thirds (2/3) vote by the general membership. Section 2: PRESIDENT - Shall be the chief officer of the Club. The President shall preside at all meetings of the club. He or she shall perform all other duties as may be prescribed by the Board of Directors, or General Membership. At the expiration of his or her term, shall deliver to their successor all property belonging to the club. Section 3: VICE-PRESIDENT - In the absence of the President, the Vice-president shall have the powers and perform the duties of the President, and other such duties as may be prescribed by the Board of Directors or General Membership. At the expiration of his or her term, shall deliver to their successor all property belonging to the club. Section 4: SECRETARY - Shall keep the minutes of all membership and Board meetings, and shall keep and safe guard the records of the club. He or she shall make a report of his or her office at all regular meetings, and to the Board of Directors. He or she shall also send out a club news letter when needed. At the expiration of his or her office, he or she shall deliver to their successor all books, Moines, and other properties of the club. Section 5: TREASURER - Shall keep full and accurate accounts of receipts and disbursements in books belonging to the club. And shall deposit all Moines and other valuable effects in the name of and to the credit of the Fallon Bowmen, in such depositories as may be designated by the members. He or she shall disburse the funds of the club as may be ordered by the membership or the Board of Directors, taking proper vouchers for such disbursements, and shall render to the Board and membership at all meetings and when ever required, accounts of all his or her transactions as Treasurer. And of the financial condition of the club. At the expiration of his or her office, they shall deliver to their successor all Moines, books, and other properties of the club. ARTICLE 4 Section 1: BOARD OF DIRECTORS - The powers and authority of the club shall be vested in and be exercised by a Board of Directors. The Board shall consist of eight (8) elected members. This will include the immediate past president, current president, vice-president, secretary, and treasurer. Plus four (4) elected club members in good standing (current year's dues paid). The Board of Directors shall have the powers and the authority to make, amend, repeal, enforce such rules and regulations, not contrary to the By-laws, as they deem appropriate concerning the conduct, management, and activities of the club. Including bow shoots, competitions, and work days. Section 2: ABSENCE - In the event that a board member is absence from three (3) consecutive board meetings or doesn't attend seventy-five percent (75%) of the meetings without the consent of the board, then in such event all offices and the directorship held by such person in the club shall terminate Five directors shall constitute a Quorum, and a majority vote of the five (5) directors shall decide the issues involved. The President is to vote in a tie-breaking capacity, or to make a quorum. |
